Terms of Service

These Terms of Service ("Terms") govern your use of CatalogVitals (the "Service"), operated from Wichita, Kansas, USA ("CatalogVitals", "we", "us"). By creating an account or connecting your point-of-sale system to the Service, you agree to these Terms on behalf of yourself and the business you represent.

1. The Service

CatalogVitals connects to your Lightspeed Retail (R-Series) account through Lightspeed's public API using a read-only inventory authorization, synchronizes your product catalog into a private cache, and provides catalog health reports, dashboards, and — on paid plans — merchandising, content import, and inventory intelligence tools. The Service has no capability to create, modify, or delete data in your point-of-sale system.

CatalogVitals is an independent product. We are not affiliated with, endorsed by, or sponsored by Lightspeed Commerce Inc. Your use of Lightspeed itself is governed by your agreement with Lightspeed.

2. Accounts

You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under accounts you create for your staff. You must have authority over the Lightspeed account you connect. Notify us promptly at support@catalogvitals.com if you suspect unauthorized access.

3. Plans, billing, and cancellation

• The Free plan (the Catalog Health Audit and related reports) is free of charge and does not require payment details.
• The Pro plan is billed per store, monthly or annually, at the prices published on our website at the time of purchase. Founding-store pricing, where offered, is honored for as long as the subscription remains continuously active.
• You may cancel at any time; cancellation takes effect at the end of the current billing period, and the store reverts to the Free plan. We do not offer refunds for partial billing periods except where required by law.
• We may change prices with at least 30 days' notice; changes never apply retroactively to a period you have already paid for.

4. Your content and imported content

Your catalog data remains yours. Where the Service lets you upload or bulk-import product images, titles, and descriptions, you warrant that you hold the rights or licenses required to use that content — for example, an authorized distributor feed, a manufacturer asset portal, or your own files. The Service requires you to confirm this authorization before an import runs, and we may suspend imports that appear to infringe third-party rights. You are solely responsible for content you import.

5. Acceptable use

You agree not to: (a) attempt to gain unauthorized access to the Service or other users' data; (b) resell or white-label the Service without our written agreement; (c) use the Service to violate any law or third-party right, including scraping content you are not licensed to use; or (d) interfere with the Service's operation.

6. Reports are informational

Health scores, margin figures, capital estimates, and every other output of the Service are derived from the data in your point-of-sale system and are provided for informational purposes only. They are not financial, accounting, or legal advice, and they can be wrong where the underlying data is wrong. Verify before acting on them.

7. Availability and support

We aim for high availability but the Service is provided without an uptime guarantee during early access. Support is provided by email at support@catalogvitals.com.

8. Intellectual property

The Service, including its software, design, and branding, is owned by CatalogVitals. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own business while your account is in good standing.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALOGVITALS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE (OR US $50 IF YOU USE ONLY THE FREE PLAN).

11. Termination

You may stop using the Service and disconnect your point-of-sale account at any time. We may suspend or terminate accounts that violate these Terms, with notice where practicable. On termination we revoke the POS connection and delete your cached catalog data as described in the Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Kansas, USA, without regard to conflict of laws principles. Venue for any dispute lies in the state or federal courts located in Sedgwick County, Kansas.
